Liperpay Escrow Financial System Terms and Conditions
Introduction
Liperpay (“the Service”) is an escrow financial system founded in Kenya and operated by Kladit Technologies Ltd. (“the Company”). By using the Liperpay service, you (“the User”) agree to be bound by the terms and conditions outlined herein. The purpose of these terms is to ensure the safe and secure management of transactions facilitated through Liperpay, enabling buyers and sellers to conduct business with confidence.
These Terms and Conditions, together with any other policies or guidelines, govern the relationship between Liperpay and its Users. By accessing or using Liperpay, you acknowledge that you have read, understood, and agreed to these terms.
1. Definitions
1.1 Liperpay: The escrow service provided by Kladit Technologies Ltd.
1.2 Company: Kladit Technologies Ltd., a company incorporated in Kenya, which owns and operates Liperpay.
1.3 User: Any person or entity that uses the Liperpay service, including both Buyers and Sellers.
1.4 Buyer: A person or entity purchasing goods or services through the Liperpay service.
1.5 Seller: A person or entity selling goods or services through the Liperpay service.
1.6 Escrow Account: A secure, temporary holding account where funds are deposited by the Buyer and held until all conditions of the transaction are met.
1.7 Transaction: The purchase or sale of goods and/or services facilitated through the Liperpay service.
1.8 Dispute: Any disagreement or conflict between a Buyer and a Seller regarding a Transaction.
2. Eligibility and Registration
2.1 All Users must be at least 18 years of age and possess the legal capacity to enter into contracts.
2.2 Users must provide accurate, current, and complete registration information, including but not limited to full name, contact details, and bank account information.
2.3 The Company reserves the right to suspend or terminate accounts if any information provided is found to be false, inaccurate, or misleading.
3. Use of Service
3.1 Escrow Transactions: Liperpay acts as a neutral third party that securely holds funds in escrow until all agreed-upon conditions between the Buyer and Seller are fulfilled.
3.2 Payment Processing: All payments must be made to the designated Liperpay Escrow Account. Funds will be released to the Seller only when the Buyer confirms receipt of goods or services as specified in the Transaction Agreement.
3.3 Fees and Charges: Liperpay charges a service fee for each Transaction, which may be a percentage of the total transaction value or a fixed fee, as specified at the time of initiating the Transaction. This fee is non-refundable.
3.4 Prohibited Activities: The User agrees not to use Liperpay for any unlawful purposes, including but not limited to money laundering, fraud, or the purchase or sale of prohibited goods or services.
4. Transaction Process
4.1 Initiating a Transaction: The Buyer initiates a Transaction by selecting the goods or services and entering the agreed price. The funds are deposited into the Liperpay Escrow Account. 4.2 Delivery of Goods or Services: The Seller delivers the goods or services in accordance with the agreement between the parties. 4.3 Release of Funds: Upon satisfactory receipt of goods or services, the Buyer confirms and authorizes Liperpay to release the funds to the Seller. 4.4 Dispute Resolution: If the Buyer does not confirm receipt, or if a Dispute arises, Liperpay will hold the funds until the issue is resolved between the parties or through arbitration.
5. Refunds and Cancellations
5.1 Refunds: Refunds may be issued to the Buyer if the Seller fails to deliver the goods or services as agreed. The Buyer must submit a refund request through the Liperpay platform, providing relevant evidence of non-delivery or breach of agreement. 5.2 Cancellations: A Transaction may be canceled prior to the delivery of goods or services. In such cases, the Buyer will receive a full refund, less any non-refundable service fees. 5.3 Processing Time: Refunds and cancellations will be processed within 7-10 business days of confirmation by both parties.
6. Dispute Resolution
6.1 Raising a Dispute: Either party may raise a Dispute through the Liperpay platform if there is a disagreement over the Transaction.
6.2 Resolution Process: Liperpay will facilitate communication between the parties and may request supporting evidence such as delivery receipts, product images, or correspondence records.
6.3 Escalation: If a resolution cannot be reached within 14 days, the Dispute may be escalated to independent arbitration, where the decision will be final and binding.
6.4 Release of Funds During Dispute: Funds will not be released to either party until the Dispute is resolved or an arbitration decision is made.
7. Limitation of Liability
7.1 Liperpay is not responsible for the actual goods or services provided by the Seller. It only facilitates the secure transfer of funds between the Buyer and Seller.
7.2 Liperpay is not liable for any losses, damages, or claims arising from the use of the platform, including but not limited to delays, fraud, or misrepresentation by either party.
7.3 Users agree to indemnify and hold Liperpay harmless against any claims or liabilities resulting from the misuse of the service or breach of these Terms and Conditions.
8. Data Privacy and Security
8.1 Liperpay is committed to protecting the privacy and security of User data. Personal information is collected, stored, and processed in accordance with applicable data protection laws and Liperpay’s Privacy Policy.
8.2 Users must maintain the confidentiality of their account information and must notify Liperpay immediately in case of any unauthorized access or suspicious activity.
8.3 Liperpay implements industry-standard security measures to protect funds and personal information. However, Users acknowledge that no system is completely secure and agree to use Liperpay at their own risk.
9. Termination and Suspension
9.1 Liperpay reserves the right to terminate or suspend a User’s account at any time for violations of these Terms and Conditions, suspicious activities, or legal requirements.
9.2 Upon termination, any pending Transactions will be handled according to the applicable refund and cancellation policies.
9.3 Users may close their account at any time, provided there are no outstanding Transactions. Upon closure, all personal information will be handled in accordance with Liperpay’s Privacy Policy.
10. Amendments to Terms
10.1 Liperpay reserves the right to amend these Terms and Conditions at any time. Such amendments will become effective upon posting on the Liperpay website or notification to Users.
10.2 Continued use of the Liperpay service after amendments constitute acceptance of the revised Terms and Conditions.
11. Governing Law and Jurisdiction
11.1 These Terms and Conditions are governed by the laws of Kenya.
11.2 Any disputes arising out of or related to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of Kenya.

These Bills & Payments Terms & Conditions (“Terms”) govern your access to and use of the Bills & Payments feature available within the Liper platform (“Liper,” “we,” “our,” or “us”).
By accessing or using Bills & Payments, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms together with the general Liper Terms & Conditions, Privacy Policy, and all applicable laws and regulations of Kenya.
If you do not agree to these Terms, you must not use Bills & Payments.
1. About Bills & Payments
Bills & Payments is a digital payment facilitation feature within the Liper ecosystem that enables users to:
• pay bills;
• make merchant payments;
• transfer funds to approved billers or businesses;
• manage recurring or scheduled payments;
• track payment activity digitally.
Bills & Payments is designed to simplify secure digital payment experiences through the Liper platform.
Liper acts solely as a payment technology and transaction facilitation platform and does not guarantee the products, services, or obligations of third-party billers, merchants, or service providers.
2. Eligibility
To use Bills & Payments, you must:
• hold an active and verified Liper account;
• complete any required verification or compliance procedures;
• comply with all applicable laws and platform policies;
• maintain sufficient wallet balances or approved payment methods where applicable.
Liper reserves the right to:
• approve or deny access;
• apply usage limits;
• suspend functionality;
• request additional verification;
• restrict transactions where necessary for compliance, fraud prevention, security, or operational integrity.
3. Nature of the Service
Bills & Payments is a digital payment facilitation service only.
By using Bills & Payments, you acknowledge and agree that:
• Liper processes and facilitates payment instructions submitted by users;
• payments are executed based on information provided by the user;
• Liper is not the provider of third-party goods or services paid through the platform;
• Liper does not guarantee fulfillment, quality, delivery, or performance of third-party services or products.
Users remain solely responsible for verifying:
• recipient details;
• account numbers;
• payment references;
• bill amounts;
• merchant authenticity before authorizing payments.
4. Payment Authorization
By confirming a payment transaction, you authorize Liper to:
• debit your wallet or approved funding source;
• process payment instructions;
• transmit payment information to authorized service providers or billers;
• complete settlement processes through supported infrastructure.
Transactions initiated and confirmed by the user may be treated as final and irreversible once successfully processed.
Users are responsible for reviewing transaction details carefully before confirmation.
5. Scheduled and Recurring Payments
Liper may provide scheduled or recurring payment functionality for supported services.
By enabling recurring or scheduled payments, you authorize Liper to process future transactions according to your selected settings.
Users remain responsible for:
• ensuring sufficient wallet balances;
• maintaining valid payment methods;
• reviewing scheduled payment details regularly.
Liper does not guarantee successful execution where:
• insufficient funds exist;
• technical failures occur;
• third-party service interruptions arise;
• compliance restrictions apply.
Users may modify or cancel scheduled payments where functionality is available and before processing deadlines.
6. Billers and Third-Party Providers
Bills & Payments may involve third-party:
• billers;
• merchants;
• utility providers;
• financial institutions;
• service aggregators;
• payment processors.
Liper does not control or assume responsibility for:
• third-party service availability;
• billing disputes;
• pricing changes;
• incorrect invoices;
• delayed service activation;
• merchant conduct;
• fulfillment failures.
Any disputes relating to third-party goods or services must generally be resolved directly with the applicable provider unless otherwise required by law.
7. Payment Processing and Settlement
Payment processing times may vary depending on:
• biller systems;
• banking infrastructure;
• network availability;
• compliance reviews;
• operational requirements.
Liper does not guarantee instant settlement in all circumstances.
Some transactions may remain pending while:
• verification checks are completed;
• settlement confirmations are received;
• external systems process payments.
Users acknowledge that external providers may operate on separate processing schedules beyond Liper’s direct control.
8. Failed, Delayed, or Reversed Transactions
A transaction may fail, delay, reverse, or remain pending due to:
• insufficient funds;
• incorrect payment details;
• network interruptions;
• technical failures;
• biller rejection;
• compliance reviews;
• suspected fraud;
• operational issues.
Where appropriate, failed or reversed transactions may be refunded to the user’s wallet subject to:
• reconciliation procedures;
• third-party confirmations;
• applicable processing timelines.
Liper reserves the right to investigate transaction discrepancies before completing adjustments or refunds.
9. Fees
Liper may charge fees relating to:
• bill payments;
• merchant transactions;
• processing services;
• premium payment features;
• convenience services.
Applicable fees, where charged, shall be disclosed before transaction confirmation or communicated through official channels.
Third-party providers may separately apply their own charges or service fees.
10. Compliance and Monitoring
Liper may monitor Bills & Payments activity for:
• fraud prevention;
• anti-money laundering (AML);
• sanctions compliance;
• counter-terrorism financing (CTF);
• security monitoring;
• operational integrity.
Liper reserves the right to:
• delay or decline transactions;
• request additional verification;
• suspend payment functionality;
• freeze suspicious transactions;
• report unlawful activity to authorities where required.
Users agree to provide accurate and truthful information at all times.
11. Security Responsibilities
Users are responsible for:
• maintaining the confidentiality of account credentials;
• securing devices used to access Liper;
• verifying transaction details before authorization;
• monitoring account activity;
• immediately reporting unauthorized activity.
Liper shall not be liable for losses arising from:
• compromised devices;
• phishing attacks;
• user negligence;
• incorrect payment instructions submitted by users;
• unauthorized access caused by failure to maintain reasonable security practices.
12. Prohibited Activities
Bills & Payments may not be used for:
• unlawful transactions;
• fraudulent payments;
• money laundering;
• sanctions violations;
• deceptive commercial conduct;
• unauthorized financial activity;
• prohibited goods or services;
• transactions that violate applicable laws or platform policies.
Violation of this section may result in:
• account suspension;
• transaction reversal;
• permanent termination;
• reporting to authorities;
• legal action.
13. Availability of Service
Liper does not guarantee uninterrupted availability of Bills & Payments.
Services may be temporarily unavailable due to:
• maintenance;
• upgrades;
• network outages;
• third-party interruptions;
• security incidents;
• operational requirements.
Liper reserves the right to modify, suspend, limit, or discontinue any Bills & Payments functionality at any time.
14. Limitation of Liability
To the maximum extent permitted by law, Liper shall not be liable for:
• indirect or consequential damages;
• losses caused by third-party billers or merchants;
• failed or delayed payments outside reasonable control;
• service interruptions;
• loss of profits or opportunities;
• user errors in payment instructions.
Liper’s total liability relating to Bills & Payments shall not exceed the amount directly associated with the affected transaction except where prohibited by law.
15. Indemnity
You agree to indemnify and hold harmless Liper, its affiliates, officers, employees, partners, and service providers from claims, liabilities, losses, damages, or expenses arising from:
• your misuse of Bills & Payments;
• violation of these Terms;
• unlawful activity;
• incorrect payment instructions;
• disputes with third-party providers.
16. Suspension and Termination
Liper may suspend, restrict, or terminate access to Bills & Payments immediately where:
• suspicious activity is detected;
• legal or regulatory obligations require action;
• fraud risks arise;
• compliance concerns are identified;
• these Terms are violated.
Restrictions may remain in place pending investigations or verification procedures.
17. Amendments
Liper reserves the right to amend these Terms at any time.
Updated Terms may be communicated through:
• the Liper app;
• official website notices;
• email notifications;
• in-platform communication channels.
Continued use of Bills & Payments after updated Terms become effective constitutes acceptance of the revised Terms.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya.
Any disputes arising from or relating to Bills & Payments shall be subject to the jurisdiction of the competent courts of Kenya unless otherwise required by applicable law.

By creating, accessing, or using Jars, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, together with the general Liper Terms & Conditions, Privacy Policy, and any applicable laws and regulations of Kenya.
If you do not agree to these Terms, you must not use the Jars feature.
1. About Jars
Jars is a digital money organization feature available within the Liper wallet ecosystem that enables users to allocate, organize, and manage funds for personal, family, business, or goal-based purposes.
Jars are designed to help users structure and manage funds more effectively within their Liper wallet experience.
Jars are not bank accounts, investment accounts, deposit accounts, collective investment schemes, or interest-bearing financial products.
2. Eligibility
To use Jars, you must:
• Have an active and verified Liper account;
• Successfully complete any applicable identity verification and compliance checks;
• Be legally eligible to use digital financial services under applicable laws;
• Comply with all Liper policies, procedures, and security requirements.
Liper reserves the right to approve, deny, suspend, limit, or terminate access to Jars at its sole discretion where necessary for compliance, security, fraud prevention, operational integrity, or legal obligations.
3. Nature of the Service
Jars is a wallet-based financial organization feature only.
By using Jars, you acknowledge and agree that:
• Funds stored in Jars remain part of your Liper wallet ecosystem;
• Jars do not constitute a savings account or banking relationship;
• Jars do not earn interest, profit, yield, dividends, or investment returns;
• Jars are not credit facilities or loan products;
• Jars are intended solely for digital money organization and allocation purposes.
Liper does not guarantee financial growth, returns, or preservation of purchasing power associated with funds allocated to Jars.
4. Funding Jars
Users may fund Jars using approved funding methods available within the Liper platform, including but not limited to:
• Wallet balance transfers;
• Deposits;
• Authorized payment methods;
• Supported transfer services.
All transactions are subject to:
• verification procedures;
• fraud monitoring;
• transaction limits;
• compliance checks;
• system availability.
Liper reserves the right to reject, delay, reverse, or review transactions where necessary.
5. Withdrawals and Transfers
Users may withdraw or transfer funds from Jars back to their available wallet balance, subject to:
• system availability;
• security verification;
• transaction limits;
• compliance obligations;
• risk controls.
Liper may apply temporary restrictions or holding periods where necessary to:
• investigate suspicious activity;
• comply with legal obligations;
• protect users or the platform;
• maintain operational security.
6. Jar Goals and Naming
Users may create personalized Jar names, goals, labels, or descriptions.
You agree that you will not:
• use offensive, illegal, misleading, or fraudulent names;
• impersonate individuals or organizations;
• violate intellectual property rights;
• use Jars for unlawful activity.
Liper reserves the right to remove or restrict content that violates these Terms or applicable laws.
7. Shared or Collaborative Features
Where collaborative, group, or shared Jar functionality is introduced, additional rules, permissions, responsibilities, and disclosures may apply.
Liper reserves the right to establish:
• contribution rules;
• administrator permissions;
• participant access levels;
• dispute procedures;
• transaction controls.
Participation in shared Jars may require additional identity verification or approvals.
8. No Interest or Investment Relationship
Jars are strictly non-interest-bearing features.
By using Jars, you expressly acknowledge that:
• you are not opening an investment account;
• you are not participating in a securities product;
• you are not earning interest or financial returns;
• your use of Jars does not establish a banking or fiduciary relationship with Liper.
Any references to goals, organization, or money management are provided solely for convenience and user experience purposes.
9. Fees
Liper may introduce fees related to certain Jar functionalities, premium features, transfers, or enhanced services.
Where fees apply:
• they will be disclosed in advance;
• users will be informed through the platform or official communication channels;
• continued use after disclosure may constitute acceptance of such fees.
Standard transaction or wallet fees may still apply.
10. Compliance and Monitoring
Liper may monitor Jar activity for:
• fraud prevention;
• anti-money laundering (AML);
• counter-terrorism financing (CTF);
• sanctions compliance;
• security purposes;
• operational integrity.
You agree to provide accurate and truthful information at all times.
Liper reserves the right to:
• request additional information;
• suspend transactions;
• restrict access;
• report suspicious activity to relevant authorities;
• comply with legal and regulatory obligations.
11. Availability of Service
Liper does not guarantee uninterrupted availability of Jars.
The service may be temporarily unavailable due to:
• maintenance;
• upgrades;
• network interruptions;
• third-party service failures;
• security incidents;
• operational requirements.
Liper reserves the right to modify, suspend, discontinue, or enhance any aspect of Jars at any time.
12. Security Responsibilities
You are responsible for:
• maintaining the confidentiality of your account credentials;
• securing your device and authentication methods;
• reviewing transactions and activity;
• immediately reporting unauthorized access or suspicious activity.
Liper shall not be liable for losses arising from:
• user negligence;
• compromised devices;
• unauthorized access caused by failure to maintain security controls;
• phishing or social engineering attacks outside Liper's reasonable control.
13. Prohibited Activities
You agree not to use Jars for:
• unlawful activities;
• fraud or financial crime;
• money laundering;
• terrorist financing;
• deceptive conduct;
• sanctions violations;
• unauthorized commercial activity;
• abuse of the platform.
Violation of this section may result in:
• suspension;
• permanent account termination;
• reversal of transactions;
• reporting to authorities;
• legal action.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Liper shall not be liable for:
• indirect or consequential damages;
• loss of profits;
• loss of opportunity;
• loss of data;
• financial losses caused by third parties;
• service interruptions outside reasonable control.
Liper's total liability relating to Jars shall not exceed the amount directly associated with the affected transaction or activity, except where prohibited by law.
15. Indemnity
You agree to indemnify and hold harmless Liper, its affiliates, officers, employees, partners, and service providers from claims, damages, liabilities, costs, or expenses arising from:
• your misuse of Jars;
• violation of these Terms;
• unlawful conduct;
• breach of applicable laws or regulations.
16. Suspension and Termination
Liper may suspend, restrict, or terminate access to Jars immediately where:
• required by law;
• fraud or suspicious activity is detected;
• compliance concerns arise;
• security risks are identified;
• these Terms are violated.
Termination of Jars access does not automatically terminate your broader Liper account unless separately determined by Liper.
17. Amendments
Liper reserves the right to amend these Terms at any time.
Updated Terms may be communicated through:
• the Liper app;
• email;
• website notices;
• in-platform notifications.
Continued use of Jars after updates become effective constitutes acceptance of the revised Terms.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kenya.
Any disputes arising from or related to Jars shall be subject to the jurisdiction of the competent courts of Kenya, unless otherwise required by applicable law.

These Money Pools Terms & Conditions ("Terms") govern your access to and use of the Money Pools feature available within the Liper platform. By creating, joining, contributing to, managing, or using Money Pools, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms together with the general Liper Terms & Conditions, Privacy Policy, and all applicable laws and regulations of Kenya.
If you do not agree to these Terms, you must not use Money Pools.
1. About Money Pools
Money Pools is a collaborative financial coordination feature within the Liper ecosystem that enables users to collectively organize, contribute, manage, and track funds digitally for shared goals, activities, causes, projects, events, or group purposes.
Money Pools are designed to simplify transparent digital collaboration and collective money organization between users.
Money Pools are not:
• bank accounts;
• investment schemes;
• collective investment vehicles;
• deposit-taking products;
• SACCOs;
• securities products;
• interest-bearing financial services.
2. Eligibility
To use Money Pools, you must:
• hold an active and verified Liper account;
• complete any required identity verification procedures;
• satisfy applicable compliance and risk requirements;
• comply with these Terms and all applicable laws.
Liper reserves the right to approve or deny access, apply usage limitations, suspend functionality, request additional verification, or terminate access where necessary for compliance, fraud prevention, operational integrity, or legal obligations.
3. Nature of the Service
Money Pools is a wallet-based digital coordination and contribution feature only. By using Money Pools, you acknowledge and agree that:
• funds contributed remain digital wallet balances within the Liper ecosystem;
• Money Pools do not generate interest, profits, dividends, or investment returns;
• Liper does not guarantee financial growth or appreciation of funds;
• Money Pools are intended solely for contribution management and financial coordination purposes.
Liper does not act as a trustee, investment manager, financial advisor, or fiduciary in relation to Money Pools.
4. Pool Creation
Users may create Money Pools for lawful purposes including but not limited to events, fundraising, travel, family support, group purchases, projects, business coordination, educational purposes, and social activities.
Pool creators may define pool names, descriptions, contribution targets, participant permissions, contribution rules, deadlines, and visibility settings.
Liper reserves the right to restrict or remove Pools that violate these Terms, applicable laws, public policy, or platform integrity standards.
5. Pool Administrators
Pool creators or designated administrators ("Pool Admins") may be granted management privileges including inviting participants, approving contributors, managing contribution settings, viewing pool activity, and distributing or withdrawing funds where permitted.
Pool Admins are solely responsible for managing Pools lawfully and transparently, ensuring accurate communication with participants, using contributed funds appropriately, and complying with all applicable laws and obligations.
Liper does not guarantee or supervise how Pool Admins utilize funds after withdrawal or distribution.
6. Contributions
Users may contribute funds to Money Pools using supported payment methods available within Liper. All contributions are subject to transaction verification, fraud monitoring, compliance reviews, security procedures, and applicable limits.
Contributors are responsible for verifying recipient details, Pool legitimacy, contribution amounts, and intended purposes before confirming transactions.
Completed contributions may not be reversible except where required by law or authorized by Liper.
7. Withdrawals and Distribution of Funds
Pool withdrawals, transfers, or distributions may only be performed by authorized Pool Admins, through approved Liper processes, subject to compliance and security checks.
Liper reserves the right to delay or restrict withdrawals, investigate suspicious activity, freeze Pools temporarily, require additional documentation, or reject transactions that present legal, compliance, or security risks.
Users acknowledge that Liper is not responsible for disputes relating to how distributed funds are utilized by Pool Admins or participants.
8. Shared Responsibility and Disputes
Money Pools involve participation between independent users. Liper is not responsible for disagreements between participants, misuse of funds by Pool Admins, failed expectations between contributors, disputes regarding contribution purposes, or non-delivery of promised activities or services.
Participants are encouraged to exercise due diligence before contributing to any Pool. Liper may, at its sole discretion, assist in reviewing disputes but is not obligated to mediate or resolve private disagreements between users.
9. Transparency and Activity Records
Liper may provide visibility features such as contribution histories, participant lists, funding progress, transaction records, and distribution activity. These features are intended to improve transparency and accountability within the Money Pools ecosystem.
Users acknowledge that certain Pool activities may be visible to authorized participants depending on Pool settings and permissions.
10. No Interest or Investment Relationship
Money Pools are strictly non-interest-bearing features. By using Money Pools, you expressly acknowledge that:
• you are not participating in an investment product;
• you are not earning interest or returns;
• your participation does not create a banking, partnership, trust, or fiduciary relationship with Liper;
• Liper does not guarantee preservation or growth of contributed funds.
Money Pools exist solely as digital coordination tools within the Liper ecosystem.
11. Prohibited Activities
Money Pools may not be used for unlawful fundraising, fraudulent schemes, money laundering, terrorist financing, sanctions violations, illegal investments, pyramid schemes, unauthorized securities offerings, deceptive fundraising campaigns, prohibited goods or services, or activities that violate applicable laws or platform policies.
Liper reserves the right to suspend or terminate Pools, freeze transactions, report suspicious activity, and cooperate with regulatory or law enforcement authorities.
12. Compliance and Verification
Liper may require additional verification for high-value Pools, large contribution volumes, unusual activity, business-related Pools, or regulatory compliance obligations. This may include requests for identification documents, source of funds information, purpose verification, and supporting documentation.
Failure to provide requested information may result in restrictions or suspension.
13. Fees
Liper may introduce fees relating to Pool creation, premium features, transaction processing, withdrawals, or enhanced collaboration functionality. Applicable fees, where introduced, will be disclosed through official communication channels or within the platform.
Standard wallet or transaction fees may still apply.
14. Availability of Service
Liper does not guarantee uninterrupted availability of Money Pools. The feature may be temporarily unavailable due to maintenance, upgrades, network disruptions, third-party service interruptions, security incidents, or operational requirements.
Liper reserves the right to modify, suspend, discontinue, or enhance Money Pools functionality at any time.
15. Security Responsibilities
Users are responsible for maintaining account security, protecting login credentials, securing devices used to access Liper, reviewing Pool activity regularly, and reporting suspicious activity immediately.
Liper shall not be liable for losses resulting from unauthorized access caused by user negligence, phishing or social engineering attacks, compromised devices, or participant misconduct outside Liper's reasonable control.
16. Limitation of Liability
To the maximum extent permitted by law, Liper shall not be liable for indirect or consequential losses, participant disputes, misuse of Pool funds by administrators or contributors, loss of profits or opportunities, service interruptions outside reasonable control, or third-party conduct.
Liper's total liability relating to Money Pools shall not exceed the amount directly associated with the affected transaction, except where prohibited by law.
17. Indemnity
You agree to indemnify and hold harmless Liper, its affiliates, officers, employees, partners, and service providers from claims, liabilities, damages, losses, or expenses arising from your use of Money Pools, violations of these Terms, unlawful conduct, disputes involving Pool participants, or misuse of funds.
18. Suspension and Termination
Liper may suspend, restrict, freeze, or terminate access to Money Pools where suspicious activity is detected, compliance concerns arise, legal obligations require action, fraud risks are identified, or these Terms are violated. Liper may also restrict access pending investigation or verification processes.
19. Amendments
Liper reserves the right to update or amend these Terms at any time. Updated Terms may be communicated through the Liper app, email notifications, website notices, or in-platform announcements. Continued use of Money Pools after amendments become effective constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Kenya. Any disputes arising from or relating to Money Pools shall be subject to the jurisdiction of the competent courts of Kenya unless otherwise required by applicable law.
